Terms of On-Site Service
Contracting Parties
Party A: The Client of Constant Connection
Party B: Constant Connection.
1. Party A’s Obligations for Approvals and Permits
1.1 Obtaining Necessary Permits and Approvals
Party A shall ensure that all necessary permits and approvals required under the Canadian Electrical Code and relevant laws are obtained before the commencement of construction. If delays occur due to Party A’s failure to obtain the necessary permits on time, Party A shall bear all resulting costs and indemnify Party B against any associated liabilities.
1.2 Design Changes and Approvals
If Party A requests changes to the design or construction plan, Party A must notify Party B in writing in advance and obtain confirmation. Any unapproved changes shall be considered a breach of contract, and Party A shall bear the costs and liabilities resulting from such changes.
2. Party A’s On-Site Preparation Obligations
2.1 Providing Necessary Working Conditions
In accordance with workplace health and safety laws, Party A shall ensure that the construction site meets all safety requirements, including fire prevention measures, emergency exits, and emergency facilities. If the site fails to comply, Party B has the right to suspend construction, and Party A shall bear the costs of the delay. Party A must provide Party B with detailed location plans for all underground utilities, such as water pipes, cables, and gas pipelines. If Party A fails to provide accurate information, leading to damages or accidents during construction, Party A shall assume full responsibility.
2.2 Site Access and Cooperation
Party A shall ensure that Party B’s personnel have unhindered access to the site during construction and provide necessary assistance. If Party A obstructs construction, Party B may extend the project timeline and claim related costs.
2.3 On-Site Safety Guarantees
Party A shall ensure that the construction site is cleared in compliance with workplace health and safety laws. If Party A’s failure to fulfill its site preparation obligations or other errors result in injuries to Party B’s personnel or damage to Party B’s property, Party A shall bear all resulting liabilities, including but not limited to medical expenses, compensation, repair costs, and other economic losses incurred by Party B. Party A shall indemnify Party B for all direct and indirect losses resulting from such incidents. Similarly, if Party A’s personnel or property suffer injuries or damages due to Party A’s own errors, Party A shall bear all resulting liabilities and losses.
3. Party A’s Safety and Environmental Responsibilities
3.1 Safety Responsibilities
Party A shall ensure the safety of the construction site in accordance with applicable health and safety regulations. This includes maintaining a clean, unobstructed site and providing necessary safety equipment such as guardrails and fire extinguishers. Before the project begins, Party A shall provide written documentation of all potential environmental risks on-site (e.g., hazardous materials or contaminated soil) and take necessary measures to address them. If Party A fails to provide a safe working environment and Party B’s employees are injured as a result, Party A shall bear all associated legal liabilities and compensation costs.
3.2 Environmental Protection Obligations
Party A shall ensure that the construction process does not cause environmental pollution and shall comply with all relevant environmental regulations under the Canadian Environmental Protection Act. If Party A fails to fulfill its environmental responsibilities, leading to pollution or non-compliance during construction, Party A shall assume all legal liabilities and costs and indemnify Party B against any environmental claims or responsibilities.
4. Party A’s Material and Equipment Provision Responsibilities
4.1 Materials and Equipment Provided by Party A
Party A must ensure that all materials and equipment provided comply with quality standards, applicable regulations, and construction requirements. If Party A supplies substandard materials or equipment, causing construction delays, Party B has the right to suspend work and request replacements, with Party A bearing all resulting costs and delays.
4.2 Responsibility for Equipment Malfunctions
If materials or equipment provided by Party A malfunction during construction, causing interruptions, Party B may require Party A to repair the equipment within a reasonable timeframe at Party A’s expense. If Party A fails to repair the equipment promptly, Party B may extend the construction period and seek compensation for additional costs incurred.
5. Materials and Equipment Purchased by Party B on Behalf of Party A
5.1 Party B’s Procurement Responsibilities
If Party B purchases materials or equipment on behalf of Party A, it shall ensure that they meet Party A’s requirements, contract provisions, industry standards, and applicable regulations. All procured items shall be of suitable quality, specification, and performance, with the necessary certifications and compliance documentation.
5.2 Party A’s Approval Rights
Before procuring materials or equipment, Party B must provide Party A with the relevant procurement list, quotations, and supplier information, and obtain Party A’s written approval. All procurements shall be deemed to have been made on behalf of Party A. The materials and equipment procured by Party B on behalf of Party A must meet the project requirements of Party A.
5.3 Procurement Records and Documentation
Party B shall retain all procurement records, including invoices and other relevant documents, and provide them to Party A upon request. These records shall include supplier details, material specifications, payment proofs, and delivery schedules to ensure transparency and traceability.
5.4 Transfer of Ownership and Risk
Once materials and equipment purchased by Party B are delivered to Party A or a designated location, ownership and risk transfer to Party A. Party B shall not be liable for any damage or loss thereafter unless caused by evident defects during procurement, transportation, or delivery.
5.5 Addressing Quality or Compatibility Issues
If materials or equipment procured by Party B on Party A’s behalf encounter quality, compatibility, or performance issues that cause delays or other problems, Party B shall notify Party A promptly and assist in resolving the matter. However, Party A shall bear the costs of any repairs, replacements, or delays resulting from such issues.
5.6 Payment Settlement
Party A shall pay Party B promptly for the procurement costs according to the contract terms. Party B shall provide a detailed procurement list, invoices, and other relevant documents to ensure transparency. If Party A delays payment, Party B may charge interest on overdue amounts.
6. Party A’s Notification and Communication Obligations
6.1 Timely Notification
Party A shall notify Party B in writing of any circumstances that may affect construction progress, design, materials, equipment, or safety standards. Failure to do so, resulting in delays or additional costs, shall render Party A liable for the consequences.
6.2 Progress Tracking and Reporting
Party A shall designate a liaison responsible for communication and coordination with Party B to ensure the timeliness and accuracy of information exchange. Party A must regularly update Party B on project progress as per the contract. Failure to provide timely updates may entitle Party B to extend the project timeline and claim delay-related costs.
7. Party A’s Change Requests and Cost Responsibilities
7.1 Change Requests
If Party A requests changes to the design or project scope, a written request must be submitted and confirmed by Party B in writing. All changes and associated costs or timeline adjustments shall be documented as an addendum to the contract. Unapproved changes shall constitute a breach of contract, with Party A bearing all resulting costs.
7.2 Cost Settlement for Changes
Changes may result in additional costs and timeline adjustments, which Party A shall bear, including but not limited to increased construction costs, equipment expenses, and delay-related losses.
8. Party A’s Breach of Contract Responsibilities
8.1 Liabilities for Breach of Contract
If Party A fails to fulfill any contractual obligations (including but not limited to payments, providing a safe working environment, or on-site cooperation), Party B may terminate the contract and claim all costs arising from the breach, including payments for completed work, delay fees, and equipment maintenance costs.
8.2 Compensation for Breach
In the event of a breach by Party A, Party B has the right to seek compensation for all direct and indirect losses incurred, including but not limited to construction delays, additional material costs, and downtime expenses.
